TORM 9 million-share secondary offering close
TORM shareholder OCM Njord Holdings, which held about 20% before the offering, priced a secondary offering of 9,000,000 Class A common shares for approximately $290.25 million in gross proceeds. Closing is expected on September 16; the underwriter has a 30-day option for up to 1,350,000 additional shares. TORM is not selling shares and will receive no proceeds; the transaction is not shown as completed.

TORM issued 97,089 new Class A shares following RSU exercises under its incentive program, increasing share capital by $970.89. Of the shares, 95,700 were subscribed for cash at DKK 179.80 and 1,389 at DKK 124.20; existing shareholders had no pre-emption rights. After the increase, share capital is $1,026,507.77 across 102,650,777 shares. No date was announced for the new shares' admission to trading and official listing on Nasdaq Copenhagen.
