Three critical developments

  1. Emlak Katılım said it filed the required permission and approval applications with Türkiye’s Treasury, CMB and BRSA for transfers involving Katılımevim, Birevim and İktisat Katılım.

Quick answer: Is the transfer complete?

No. The September 25 KAP disclosure says required permission and approval applications were filed for three proposed share transfers. It does not say that the Treasury, CMB or BRSA granted approval or that the shares moved to Emlak Katılım. The accurate stage is application, not a completed deal.

Which three transactions are covered?

The process concerns Emlak Katılım’s proposed acquisitions of shares in Katılımevim Tasarruf Finansman A.Ş., Birevim Tasarruf Finansman A.Ş. and İktisat Katılım Bankası A.Ş. Two operate in savings finance and one in participation banking. Although listed in one disclosure, each transfer may have distinct approval, ownership and closing conditions.

Why are three authorities involved?

KAP names the Treasury and Finance Ministry’s Directorate General for State-Owned Enterprises, the Capital Markets Board and the Banking Regulation and Supervision Agency. Emlak Katılım is state-owned, while the targets are regulated financial businesses. The short filing does not allocate responsibilities among those authorities, so this analysis does not infer their individual review scope.

What changed between September 17 and 25?

KAP labels the September 25 statement as an update to a September 17 disclosure on the same subject. The new verifiable milestone is that talks advanced to formal permission and approval applications. That progress does not make closing certain; the transaction remains conditional until official decisions are announced.

What does this mean for KTLEV investors?

Katılımevim is identified as the related company in the KAP filing and trades on Borsa Istanbul as KTLEV. But without the transaction value, transferred stake or payment structure, investors cannot calculate a premium, per-share impact, cash proceeds or control value. What does this mean for Katılımevim and Birevim customers?

A regulatory application does not show that a customer’s existing contract changed that day. Customers should verify any payment-schedule, contractual-counterparty or allocation change through company notices and BRSA publications rather than social-media claims. The current BRSA list includes both Katılımevim and Birevim as authorized savings-finance companies; future decisions should be checked separately.

Why is there no TRY 100,000 scenario?

The disclosure contains no interest rate, customer payout, new fee schedule or transaction value. A return, cost or valuation scenario built around TRY 100,000 would therefore turn missing facts into assumptions.
