Three critical developments

  1. Talks began on September 9; the filing said there was no binding agreement at that stage.
  2. The parties agreed key commercial and financial terms on September 10 and said regulatory applications would begin.
  3. The September 12 filing says the process continues; completion remains subject to approvals and other closing conditions.

QUICK ANSWER · What happens to Pusula Portföy funds?

The acquisition has not closed, and the KAP filings do not say the funds will be liquidated, transferred or require automatic investor action. Article 53 of Capital Markets Law No. 6362 separates fund assets from the assets of the portfolio management company and custodian. A change in Pusula Portföy's ownership therefore does not turn fund assets into corporate assets of the buyer.

FACT · Did Tera abandon the transaction?

Not according to KAP. Tera Yatırım's September 12 filing says publicly reported developments have not changed its strategic and financial assessment and that the planned acquisition process continues. Nor does this mean the transaction is final: completion remains subject to regulatory approvals and closing conditions.

DATA · What changed across the three filings?

The September 9 filing said talks had begun and no binding agreement existed at that point. On September 10, the parties announced agreement on key commercial and financial terms and said regulatory applications would start. On September 12, Tera confirmed that the process was continuing. KAP has disclosed no transaction price, firm closing date or approval timetable.

INTERPRETATION · Why does segregation of fund assets matter?

The statutory segregation principle keeps fund assets off the founder's corporate balance sheet; as a rule, they cannot be pledged, used as collateral or seized for the founder's debts. This is the central protection preventing a corporate acquisition from turning the fund portfolio into transaction consideration. It does not eliminate market-price, liquidity, valuation or operational risks inside a fund.

SCENARIO · What should investors monitor if the deal closes?

If closing occurs, check each fund's own KAP documents for any change in founder, manager, custodian, fund name or code, investment strategy, fees or subscription and redemption terms. Such changes become definitive only through official prospectus, investor-information or material-event disclosures. The current corporate filings do not announce blanket term changes for all funds.

METHOD AND LIMITATIONS · What cannot be verified?

Person-focused claims in the news cycle are excluded because no accessible primary source or final official decision verifies them. The acquisition price, valuation multiple, approval dates and closing day are also undisclosed, so none is estimated. This page does not forecast returns for any company or fund.

WHAT DOES THIS MEAN FOR MY MONEY OR FUND?

Do not infer an automatic buy or sell decision from an ownership headline alone. Check your fund's current KAP prospectus, investor-information form, management fee, settlement lag and custodian. If an official change is announced, compare the old and new terms against your liquidity needs. Legal asset segregation is an important protection, not a return guarantee.
